Bepaarapp ERP System, developed and operated by Ilmorix Technologies Private Limited, provides enterprise resource planning (ERP) software including but not limited to:
- Inventory management
- Sales and purchase tracking
- Customer and supplier management
- Financial accounting and reporting
- Point of Sale (POS) system
- E-commerce storefront
- GST compliance and reporting
2.1 Service Availability
While we strive to provide continuous service availability, we do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance
- Emergency updates
- Technical difficulties
- Third-party service provider issues
3. User Accounts and Registration
3.1 Account Creation
To use the Service, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Be at least 18 years of age or the age of majority in your jurisdiction
- Accept full responsibility for all activities under your account
3.2 Account Security
- You are responsible for maintaining the confidentiality of your password
- You must notify us immediately of any unauthorized access

You may create multiple companies under one account. Each company's data is isolated and protected. You are responsible for setting company-specific passwords where required.

- Encryption: Database backups are encrypted using AES-256 encryption
- Access Control: Multi-layer authentication and authorization
- Isolation: User data is stored in separate, isolated databases
- Backups: Automated daily encrypted backups
- File Permissions: Secure server-level file permissions (0700/0600)

5. Payments and Billing
5.1 Subscription Fees
If applicable, subscription fees are charged based on your selected plan. By subscribing, you agree to:

5.2 Payment Processing
Payments are processed through secure third-party payment gateways. We do not store your complete credit card information on our servers.

5.4 Payment Disputes

- Chargebacks may result in immediate account suspension

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

- Loss of business opportunities
- Loss of data or information
- Business interruption
- Loss of anticipated savings
6.2 Direct Damages Cap: Our total liability for any claims arising from your use of the Service shall not exceed the total amount you paid us in the 12 months preceding the claim. For free users or users who have not made any payments, our maximum liability shall be zero (₹0).
6.3 Data Loss: While we implement robust backup systems (daily encrypted backups, auto-backup before deletion), we are not liable for:
- Data loss due to user error or intentional deletion
- Data corruption from third-party integrations
- Loss resulting from failure to maintain offsite backups
- Server failures, hosting provider issues, or force majeure events
6.4 Third-Party Services
We are not responsible for failures, interruptions, or data loss caused by:
- Hosting providers (Hostinger, AWS, etc.)
- Payment gateways (Razorpay, Stripe, etc.)
- CDN providers (Cloudflare, etc.)
- Internet service providers
7. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We specifically disclaim all warranties including but not limited to:
- Merchantability: No guarantee the software is suitable for your specific business needs
- Fitness for Purpose: No guarantee it will meet your requirements
- Non-Infringement: No guarantee regarding third-party rights
- Accuracy: No guarantee calculations, reports, or GST filings are error-free
- Data Security: While we use best practices, no system is 100% secure
You Use the Service at Your Own Risk. You are responsible for:
- Verifying all calculations and reports
- Ensuring GST compliance with professional advice
- Maintaining adequate backups of your data
- Implementing your own security measures
8. Intellectual Property
8.1 Our Rights
The Service, including all content, features, and functionality, is owned by us and is protected by international copyright, trademark, and other intellectual property laws.
8.2 Your Rights
You retain all rights to your business data entered into the system. We grant you a limited, non-exclusive, non-transferable license to use the Service for your business purposes.
8.3 Restrictions
You agree NOT to:
- Copy, modify, or distribute the software code
- Reverse engineer or decompile the software
- Remove copyright or proprietary notices
- Use the Service to create competing products
- Sublicense, rent, or lease the Service to third parties
9. Termination
9.1 By You
You may terminate your account at any time by:
- Contacting our support team
- Using the account deletion feature (if available)
9.2 By Us
We may suspend or terminate your account immediately, without prior notice, if:
- You breach these Terms of Service
- You engage in fraudulent activity
- Your account is used for illegal purposes
- Payment disputes or chargebacks occur
- We discontinue the Service
9.3 Effect of Termination
- We will retain your data for 30 days after termination
- You may request data export during this period
- After 30 days, your data may be permanently deleted
- Encrypted backups may be retained for our records
10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
10.2 Dispute Resolution
In the event of any dispute:
- Informal Resolution: Contact us first to resolve informally
- Mediation: If informal resolution fails, agree to mediation
- Arbitration: Disputes shall be resolved through binding arbitration in accordance with Indian Arbitration and Conciliation Act, 1996
- Jurisdiction: Courts located within the jurisdiction where Ilmorix Technologies Private Limited is registered shall have exclusive jurisdiction
10.3 Class Action Waiver
You agree to bring claims only in your individual capacity and not as part of any class or representative action.
11. Additional Terms
11.1 Modifications to Terms
We reserve the right to modify these terms at any time. We will notify you of significant changes via email or in-app notification. Your continued use after changes constitutes acceptance.

You agree to comply with all applicable export laws and restrictions.
11.4 Entire Agreement
These Terms constitute the entire agreement between you and us regarding the Service.

If any provision is found to be unenforceable, the remaining provisions will remain in full effect.

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.
